1. Agreement to Terms

By accessing or using Aigentica's products and services (including TabVault Pro), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms constitute a legally binding agreement between you and Aigentica ("we," "our," or "us").

2. Description of Service

2.1 TabVault Pro

TabVault Pro is a browser extension for Google Chrome that provides tab management features including:

• Saving and organizing browser tabs
• Creating workspaces and collections
• Tab categorization with local rules engine
• Tab screenshots and visual management
• Cloud synchronization (Pro+ tier only)

2.2 Service Tiers

• Free Tier: Unlimited tabs, 10 built-in categories, local storage
• Pro Tier: Free features + 5 custom categories (one-time payment €29.99)
• Pro+ Tier: Pro features + unlimited categories + cloud sync (one-time payment €59.99)

3. License Grant

3.1 Free Tier

We grant you a personal, non-exclusive, non-transferable, revocable license to use TabVault Pro's free features.

3.2 Pro and Pro+ Tiers (Lifetime License)

Upon payment, we grant you a personal, non-exclusive, non-transferable, lifetime license to use the purchased tier features. "Lifetime" means:

• For the lifetime of the product (as long as TabVault Pro exists)
• No recurring subscription fees
• Access to updates and bug fixes
• Subject to these Terms and our right to terminate for violations

4. Payment Terms

4.1 Pricing

Prices are listed in Euros (EUR) and are one-time payments:

• Pro Lifetime License: €29.99 (launch price: €24.99)
• Pro+ Lifetime License: €59.99 (launch price: €49.99)
• Pro to Pro+ Upgrade: €30.00

4.2 Payment Processing

Payments are processed securely by Stripe. We do not store credit card information. By purchasing, you agree to Stripe's terms and conditions.

4.3 Taxes

Prices may be subject to VAT or sales tax depending on your location. Tax will be calculated at checkout.

4.4 License Delivery

Upon successful payment, your license key will be:

• Sent to your email address
• Automatically activated in the extension (if already installed)
• Stored securely in your browser

5. Refund Policy

5.1 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee for Pro and Pro+ purchases:

• Request a refund within 30 days of purchase
• Email support@aigentica.ai with your order number
• Full refund issued, no questions asked
• License key will be deactivated upon refund

5.2 After 30 Days

Refunds are generally not provided after 30 days, except:

• Critical bug that prevents usage (and we cannot fix within reasonable time)
• Service discontinuation (pro-rated refund may be offered)
• At our sole discretion on a case-by-case basis

5.3 Refund Processing

Refunds are processed within 5-10 business days and returned to the original payment method.

6. Acceptable Use Policy

You agree NOT to:

• Reverse engineer, decompile, or disassemble the extension
• Modify, adapt, or create derivative works
• Share, resell, or redistribute your license key
• Use the extension for illegal purposes
• Attempt to bypass license verification
• Use the extension to scrape or harvest data from websites without permission
• Overload or interfere with our servers or services
• Violate any applicable laws or regulations

Violation of this policy may result in immediate license termination without refund.

7. Intellectual Property

7.1 Our Rights

TabVault Pro, including all code, design, trademarks, and content, is owned by Aigentica and protected by copyright and intellectual property laws.

7.2 Your Data

You retain all rights to your data (saved tabs, workspaces, etc.). We do not claim ownership of your content.

7.3 Feedback

If you provide feedback or suggestions, we may use them without compensation or attribution.

8. Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms.

Key points:

• Free/Pro tiers store all data locally (we don't have access)
• Pro+ cloud sync uses your Google Drive (encrypted)
• We don't sell or share your personal data
• GDPR compliant (EU-based company)

9. Disclaimers and Limitations of Liability

9.1 "As Is" Basis

TabVault Pro is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

9.2 Data Loss

While we make efforts to prevent data loss, we are NOT liable for:

• Loss of saved tabs or data
• Sync failures
• Browser crashes or conflicts
• Data corruption

Recommendation: Regularly export your data as backup.

9.3 Limitation of Liability

To the maximum extent permitted by law, Aigentica's total liability for any claims related to the service is limited to the amount you paid for your license (maximum €59.99 for Pro+).

We are NOT liable for:

• Indirect, incidental, or consequential damages
• Lost profits or revenue
• Loss of data or business opportunities
• Third-party claims

9.4 Browser Compatibility

TabVault Pro is designed for Google Chrome. We do not guarantee compatibility with other browsers (Edge, Brave, etc.) even if technically possible.

10. Service Changes and Termination

10.1 Changes to Service

We reserve the right to:

• Modify or discontinue features (with reasonable notice)
• Update the extension (automatic updates)
• Change these Terms (notice provided for material changes)

10.2 Service Discontinuation

If we discontinue TabVault Pro entirely, we will:

• Provide at least 90 days notice
• Offer pro-rated refunds for paid licenses (at our discretion)
• Provide data export tools

10.3 Termination by You

You may stop using TabVault Pro at any time by uninstalling the extension. Refunds apply only within the 30-day money-back guarantee period.

10.4 Termination by Us

We may terminate your license immediately if you:

• Violate these Terms
• Engage in fraudulent activity
• Abuse our services or support

Termination for cause does not entitle you to a refund.

11. Third-Party Services

11.1 Chrome Web Store

TabVault Pro is distributed via the Chrome Web Store. You must comply with Google's terms of service for the Chrome Web Store.

11.2 Google Drive (Pro+ Only)

Cloud sync uses Google Drive and is subject to Google's terms and privacy policy. We are not responsible for Google Drive service outages or data loss.

11.3 Stripe

Payment processing is handled by Stripe. You agree to Stripe's terms of service when making a purchase.

12. Updates and Modifications

12.1 Extension Updates

TabVault Pro may update automatically through the Chrome Web Store. Updates include:

• Bug fixes and security patches (always free)
• Minor feature improvements (free for license holders)
• Major new features (may require upgrade at our discretion)

12.2 Terms Updates

We may update these Terms from time to time. Material changes will be communicated via:

• Email notification
• In-extension notice
• Website announcement

Continued use of the service after changes constitutes acceptance of updated Terms.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.

13.2 Dispute Resolution

For any disputes, you agree to first attempt informal resolution by contacting us at support@aigentica.ai.

If informal resolution fails, disputes will be resolved in the courts of the Netherlands.

13.3 EU Consumers

If you are a consumer in the EU, nothing in these Terms affects your statutory rights under EU consumer protection laws.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aigentica.

14.2 Severability

If any provision of these Terms is found invalid, the remaining provisions remain in full effect.

14.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

14.4 Assignment

You may not assign or transfer these Terms. We may assign our rights without restriction.

14.5 Force Majeure

We are not liable for failures caused by events beyond our reasonable control (e.g., natural disasters, internet outages, government actions).
